<< Back to Team MembersCEDRIC T. CHOU - Of Counsel (Asia-Pacific)Mr. Chou is a Principal with NewCap Partners and assists the firm in a wide variety of activities. Mr. Chou specializes in corporate finance, banking, mergers and acquisitions, China entry and cross-border transactions. He has been involved in China transactions since 1992 and in Taiwan matters since 1988.For approximately eight years, Mr. Chou practiced at leading international law firms including Freshfields (HK & Shanghai offices), Brown & Wood (HK office, recently merged into Sidley Austin) and Graham & James (LA office, recently merged into Squire Sanders). Mr. Chou has represented a number of Fortune 500 companies, medium-sized and smaller companies, and financial services as well as high-tech corporations in a wide range of China matters. He is experienced in consulting with the Ministry of Commerce, China Securities Regulatory Commission and other government agencies on such matters. Mr. Chou has represented clients in the handling of more than $5 billion international capital market and money market transactions as well as direct investment matters. In early 1990s, he assisted four banks, including Bank of Taiwan, in the application for the approval of Taiwan regulatory regime by the Federal Reserve System, which led to the authorization for the banks to open branches in the U.S. He has since assisted Asian companies (including Cheung Kong, China Steel and Winbond) in offering equity and debt securities listed in capital markets of New York, London and Hong Kong, including advising the first Taiwanese corporation (Far Eastern Textile) in registering at SEC for prospective ADR issuance. In addition, Mr. Chou counsels American and Asian clients in private placement and other corporate matters in California. When based in Hong Kong, he worked closely with Asian issuers and global investment banking firms, and to win IPO or corporate advisory mandates in connection with Greater China transactions. Mr. Chou was an Adjunct Professor in 2000-2001 at the Guanghua Management School of Peking University teaching international capital markets for the MBA program, and he also lectured in 1997 at the Law School of Fudan University, Shanghai. He currently serves on the Advisory Board of California State University at Northridge, Center for China Finance and Business Research. Mr. Chou has appeared on KSCI and other TV programs as well as given talks at various forums including RAND, Impact Roundtable, Cal State Northridge, Monte Jade, Council for Asian American Investor Education, Awareness and Protection, and at 20th Modern Technology Seminar sponsored by Taiwan, ROC. Mr. Chou received his Jurist Doctor degree in 1989 from UCLA School of Law. Mr. Chou is a member of the California Bar Association.
